Waddl Terms of Service

1.Introduction and Acceptance
Welcome to Waddl. These Terms of Service govern your use of the Waddl platform. By creating an account or using the Service, you agree to these Terms.
2.What Waddl Is — and Is Not
Waddl is a Group Coordination Platform
Waddl is a technology platform that helps people find others who want to participate in group purchasing opportunities. We provide:
- Matchmaking services to connect individuals forming purchasing groups
- Escrow and payment coordination to protect all parties
- Identity verification to build trust between members
- Communication tools to facilitate group coordination
The Waddl platform fee is charged for these coordination services — not for the underlying products or passes themselves.
Waddl is NOT a Pass Reseller
Waddl does not sell, resell, or distribute ski passes, memberships, or any other third-party products. Specifically:
- Waddl does not purchase passes on your behalf
- Waddl does not distribute redemption codes or pass credentials
- The actual pass transaction occurs directly between the Organizer and the third-party provider (e.g., Ikon Pass)
- Waddl's fee is a service fee for group coordination — entirely separate from the pass price
Third-Party Provider Terms
Users are responsible for ensuring their participation complies with the terms of any third-party provider. Waddl is not affiliated with, endorsed by, or partnered with Ikon Pass, Alterra Mountain Company, or any other third-party provider on the platform.
3.Eligibility
To use Waddl you must be at least 18 years of age and provide accurate information during registration. For Ikon Pass Squad Pack groups, all members must be 23–28 years old as required by Ikon Pass. You are responsible for ensuring your eligibility at the time of code redemption directly with Ikon Pass.
4.User Roles and Responsibilities
Joiners
By joining a group you agree to:
- Provide accurate personal information
- Pay your share plus the Waddl coordination fee into escrow
- Confirm receipt of your pass within 72 hours of the Organizer uploading proof of purchase
- Not withdraw after the Organizer has completed the purchase
Organizers
By creating a listing you agree to:
- Pay the $50 refundable security deposit
- Complete the purchase once all slots are filled
- Upload proof of purchase immediately after completing the purchase
- Share redemption codes with all squad members promptly
- Not ghost or fail to complete the purchase after the group fills
Organizer Deposit
The $50 deposit is authorized (held) but NOT charged unless you fail to complete the purchase after your group fills. It is returned to good-faith Organizers upon successful completion.
5.Payments, Escrow, and Fees
Escrow
All payments are held in escrow via Stripe. Your card is NOT charged when you join — only when all members confirm receipt.
Release Conditions
Funds release to Organizer only when:
- All 5 slots are filled
- Organizer uploads proof of purchase
- All 4 Joiners confirm receipt
Auto-Refund Conditions
Funds are cancelled and returned if:
- Group fails to fill before deadline
- Stripe hold expires (7 days max)
Waddl Coordination Fee
Waddl charges a 3% coordination fee for matchmaking, escrow, identity verification, and platform services. This is separate from the pass price — the pass itself is sold at the third-party's stated group price with no markup.
Non-Confirmation Policy
If a Joiner fails to confirm within 72 hours of purchase proof being uploaded, a dispute opens automatically. If the platform determines the Organizer acted in good faith, the non-confirming Joiner's funds may be captured and transferred to the Organizer.
6.Withdrawals and Cancellations
Before Purchase
Joiners may withdraw before the Organizer completes the purchase. Your card will not be charged and your slot opens up.
After Purchase — No Withdrawals
Once the Organizer completes the purchase, withdrawals are NOT permitted. Your spot is locked. The pass is non-refundable from the third-party provider and the Organizer has fronted the cost.
Organizer Failure to Purchase
If an Organizer ghosts after the group fills:
- All member holds are cancelled (members not charged)
- Organizer's $50 deposit is captured as penalty
- Organizer's account is suspended pending review
7.Disputes
Either party may open a dispute. Upon opening:
- All funds are frozen
- Waddl reviews evidence
- Waddl's determination is final
8.Prohibited Conduct
You agree not to:
- Provide false information during registration or participation
- Participate in purchases for which you are ineligible
- Resell or profit from redemption codes received through Waddl
- Create multiple accounts to circumvent platform policies
- Harass, threaten, or defraud other users
- Attempt to circumvent the escrow mechanism
9.Disclaimers
Waddl is not affiliated with Ikon Pass, Alterra Mountain Company, Vail Resorts, or any other third-party provider. Waddl does not guarantee eligibility determinations made by third-party providers. Waddl's liability is limited to coordination fees paid in the 3 months preceding any claim.
10.Governing Law
These Terms are governed by the laws of California. Disputes shall be resolved through binding arbitration in San Diego, California.
